Terms and Conditions
	To be an authorized affiliate of SEO Peace, you agree to abide by the terms and conditions contained in this agreement. Please read this agreement carefully before registering and using the SEO Peace service as an affiliate. By signing up for the SEO Peace affiliate program, you indicate your acceptance of this agreement and its terms and conditions. AFFILIATE TERMS OF USE AGREEMENT 1. SEO Peace holds the right to close an Affiliate’s account or reject an Affiliate’s application, based entirely at its own discretion, for reasons including but not limited to the following; a. Affiliate site is not fully constructed, propagates violence, sexually explicit materials or/and discrimination; b. Affiliate transfers "interstitials," "Parasitic Marketing," "ParasiteWare," "Shopping Assistance Application," "deceptive pop ups/unders" "Toolbar Installations/Add ons," or "Shopping Wallets" to Consumers soon after a Qualifying link is clicked until the Consumers get out of a Merchant`s Site (i.e., no page, content or branding from Merchant`s site is available for Consumers to see on the screen. As used a. "ParasiteWare" along with "Parasitic Marketing", refers to application that (a) consciously or unconsciously overwrites affiliate as well as non affiliate commission tracking cookies without any action taken by the consumer, such as clicking a Qualifying link available on page or email; (b) causes pop ups and commission tracking cookies to get created or to get overwritten because of interception of searches to direct traffic through a preinstalled software so that a Consumer may not get to a place where he would normally be landed, without witnessing pop ups, by using some search engines which include but not limited to Google, Yahoo, MSN, Hotbot, AltaVista or others; (c) creates commission tracking cookies by using IFrames, automatic pop ups and hidden links while the merchant site loads completely; (d) aims at text, with a purpose of contextual marketing, on those web sites which application owner doesn’t own completely; (e) substitutes or blocks Affiliate banners with another banner, not 100% owned by the application owner, or takes out Affiliate banners altogether; c. Affiliate brings forth a "Drive by Installation" program on the computer of a Consumer without being requested or noticed by the consumer. d. Affiliate uses any method to track cookies on the computer of a Consumer (i.e., the only way to create or overwrite tracking cookies may only be through clicking directly on a Qualifying Link by a visitor exploring the site; and, e. Affiliate tries to deceive the visitor, redirect him from a Merchant site or overwrite or create a commission tracking cookie by making use of pop ups/unders. No link must be there in pop ups/unders. 2. Affiliate's Site(s) comprises of any web pages, websites, and online and offline communications the Affiliate upholds that feature links to the site of the Merchant. 3. Affiliate and SR have a relationship based on none-exclusivity. 4. Affiliate has no issues in terms of using the creative tracking code offered by SEO Peace and updating the code/creative link to the site of the Merchant in case Merchant or Share Results requests or/and makes such changes. 5. Affiliate shows consent to exhibit creative links, at minimum as notably as other sales links available on the sites of Affiliate, to the sites of the Merchant 6. SEO Peace and Merchant are authoritative in terms of asking for a prior written approval before any information about SEO Peace or the Merchant not provided directly by the concerned company is used by Affiliate. 7. Affiliate can ONLY use creative links available in SEO Peace System and any other materials offered by Merchant on non-transferable, non-exclusive basis which is for the duration of this particular agreement. 8. Affiliate will not infringe Copyright, intellectual property, trademark rights or propriety rights of Merchant and SEO Peace. 9. Affiliate have no objection to obtain materials that include but not limited to system alerts, administrative communications and software news by internal system message and/or email from SEO Peace. 10. Affiliate can participate in promo announcements (from Merchants, SEO Peace and/or 3rd parties), however, SEO Peace is not accountable for any damage caused due to such communications. 11. Affiliate will not breach privacy and IP associated with the software and system of SEO Peace. 12. Affiliate will only forward solicited emails and will not send such unsolicited email communications which contain deceptive or sham statements, which do not straightforwardly identify the origin or source of IP address and/or which do not contain a valid and online real time removal option. 13. Affiliate will conform to all germane privacy laws and divulge if necessary that “Third-Party cookies” are used on the site. 14. Affiliate needs to give out commissions as mentioned in respective Merchant affiliate program description and/or Merchant Terms and Conditions which are available in SEO Peace system and Affiliate agrees that SEO Peace, being a third party, has nothing to do with the commission amounts, conditions or dates as this is between the Affiliate and the Merchant. 15. Affiliate, for the Merchant`s tax related issues, agrees to offer all essential business as well as individual information without considering the fact that Affiliate is in the same country as Merchant or not. 16. Affiliate agrees that SEO Peace doesn’t keep hold of any Affiliate’s services as SEO Peace only operates as payment facilitator for Merchant. 17. Affiliate agrees that any and all partnerships, agreements and/or affiliation made between Affiliate and Merchants shall consist of these minimum requirements: (i) SEO Peace is not partnered with Merchants and the Affiliate as it acts as third party; (ii) SEO Peace doesn’t retain the Affiliate’s services but may work as payment facilitator for Merchants to Affiliate; (iii) current SEO Peace Terms of Use Agreement is to be followed in case Merchant has not selected the same payment currency as Affiliate has; (iv) Affiliate shall agree to provide Merchants and SEO Peace with the information and details pertaining to percentage of commission paid by Merchants to Affiliate, including but not restricted to taxes being paid by Merchants and any other significant payment information. 18. Affiliate sticks to the payment policy adopted by SEO Peace: A: Payments are computed monthly with Payment Period starting on the 2nd day of month at 12 a.m. and ending on the last day of that particular month at 11:50 p.m. B: Affiliate commissions are computed by the system on the basis of all merchant-approved transactions and in case a transaction is not approved by the merchant within the payment period, transaction will be forwarded to the next payment period. C: SEO Peace is not accountable for offensive Merchant payments or approval. D: SEO Peace doesn’t take more than ten (10) working days to transfer payments to Affiliates, starting after the end of the payment period. E: Checks, PayPal or wire transfer will be the means of transferring payments but Affiliates require a commission of at least $50 to use wire transfer as a payment option (Commissions will be deferred until the minimum amount of commissions is accumulated). Affiliate, however, will have to pay processing fees to use wire transfer before reaching to the minimum limit of $50. In addition to others, SEO Peace may offer some additional payment options but taxes and fees may apply. F: Taxes as well as minimum payment barrier may have to be faced by Affiliate after choosing specific currency and payment method. Furthermore, current SEO Peace policies and retail foreign exchange rates will be followed if Merchant chooses a currency other than what is chosen by Affiliate. For currency conversions, current foreign exchange rate including the 2% fee over the wholesale rate will be followed, which is attuned consistently by SEO Peace considering the market conditions. 19. Affiliate and SEO Peace work autonomously which means that there is nothing in this Agreement which will create any joint venture, partnership, agency, sales representative, franchise or employment relations ship between the parties. Affiliate agrees that no statement will be made which may stir up confusion amongst the user pertaining to the relationship between SEO Peace and Affiliate.
